Terms of Use
1. Acceptance of Terms
By creating an account or otherwise accessing the Resolvix platform ("Service"), you agree to be bound by these Terms of Use on behalf of yourself and, if applicable, the company you represent ("Customer"). If you do not agree, do not use the Service.
2. Description of Service
Resolvix provides an AI-powered customer support platform that ingests a Customer's knowledge base and historical tickets, generates automated responses to end-user questions, and routes lower-confidence conversations to human agents. Features vary by subscription plan as described on our Pricing page.
3. Account Registration & Security
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You must notify us promptly of any unauthorized use of your account.
4. Subscription, Billing & Cancellation
- Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan.
- Usage beyond your plan's included AI resolutions is billed as AI Credits at the rate disclosed in your account.
- You may cancel at any time; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law.
- Enterprise plans are governed by their executed order form where terms differ from this section.
5. Acceptable Use
You agree not to: (a) use the Service to violate any law; (b) upload content you do not have rights to; (c) attempt to reverse-engineer, scrape, or overload the Service; (d) use the Service to generate content that is deceptive, abusive, or infringing; or (e) resell access to the Service without our written consent.
6. Customer Data & Confidentiality
"Customer Data" means the knowledge base content, tickets, and conversation data you submit to the Service. You retain all ownership rights to Customer Data. We will only use Customer Data to provide and improve the Service for you, as described in our Privacy Policy, and will treat it as confidential.
7. Intellectual Property
Resolvix retains all rights, title, and interest in the Service itself, including our software, models, and documentation. Except for the limited right to use the Service as permitted under these Terms, no rights are granted to you by implication or otherwise.
8. AI Output Disclaimer
Resolvix uses third-party large language models (including Claude 3.5 Sonnet via Amazon Bedrock) and retrieval techniques to generate responses. While the Service is designed to ground responses in your indexed content and to gate low-confidence answers for human review, AI-generated output may occasionally be incomplete or inaccurate. You are responsible for configuring escalation rules appropriate to your risk tolerance and for reviewing AI behavior in contexts with legal, financial, medical, or safety implications.
9. Service Availability
We target the uptime levels described in your plan (see Pricing), excluding scheduled maintenance and events outside our reasonable control. Specific SLA remedies, if any, are set out in your order form for Growth and Enterprise plans.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Resolvix disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Resolvix will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim will not exceed the fees you paid in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold Resolvix harmless from claims arising out of your Customer Data, your violation of these Terms, or your violation of any law or third-party right.
13. Termination
We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within 14 days of notice, or immediately for serious violations such as security threats or non-payment. Upon termination, your right to use the Service ends, and we will make Customer Data available for export for 30 days unless legally prohibited.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, and any disputes will be resolved in the state or federal courts located in Delaware, unless otherwise required by applicable law.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified at least 14 days before taking effect via email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance.
